Acceptance of Terms

The Website Owner, including subsidiaries and affiliates (“Website” or “Website Owner” or “we” or “us” or “our”) provides the information contained on the WorkApps website or any of the pages comprising the website (“website”) to visitors (“visitors”) (cumulatively referred to as “you” or “your” hereinafter) subject to the terms and conditions set out in these WorkApps website terms and conditions, the WorkApps privacy policy and any other relevant terms and conditions, policies and notices which may be applicable to a specific section or module of the WorkApps website.

Please read these terms carefully before using the services. By accessing the site, viewing any content or using any services available on the site (as each is defined below) you are agreeing to be bound by these terms, which together with our Privacy Policy, governs our relationship with you in relation to the site. If you disagree with any part of the terms then you may not access the site.

Limitation Of Liability

REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE OR OTHERWISE, AND EXCEPT FOR BODILY INJURY, IN NO EVENT WILL WORKAPPS OR ITS VENDORS, BE LIABLE TO LICENSEE OR TO ANY THIRD PARTY UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY LOST PROFITS, LOST OR CORRUPTED DATA, COMPUTER FAILURE OR MALFUNCTION, INTERRUPTION OF BUSINESS, OR OTHER SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF THE USE OR INABILITY TO USE THE WEBSITE, EVEN IF WORKAPPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES AND WHETHER OR NOT SUCH LOSS OR DAMAGES ARE FORESEEABLE. ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT MUST BE BROUGHT WITHIN THREE (3) MONTHS AFTER THE OCCURRENCE OF THE EVENT GIVING RISE TO SUCH CLAIM. IN ADDITION, WORKAPPS DISCLAIMS ALL LIABILITY OF ANY KIND OF WORKAPPS'S VENDORS.

Indemnity

The Licensee agrees that WorkApps shall have no liability whatsoever for any use Licensee makes of the Website.

Licensee shall indemnify and hold harmless WorkApps from any and all claims, damages, liabilities, costs and fees (including reasonable solicitors' fees) arising from Licensee's use of the Website.

User Conduct

All Content posted or otherwise submitted to the Site is the sole responsibility of the account holder from which such Content originates and you acknowledge and agree that you, and not WorkApps are entirely responsible for all Content that you post, or otherwise submit to the Site. WorkApps does not control user submitted Content and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Site you may be exposed to Content that is offensive, indecent or objectionable. As a condition of use, you promise not to use the Services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by WorkApps. By way of example, and not as a limitation, you agree not to use the Services:

  1. To abuse, harass, threaten, impersonate or intimidate any person;
  2. To post or transmit, or cause to be posted or transmitted, any Content that is libellous, defamatory, obscene, pornographic, abusive, offensive, profane, or that infringes any copyright or other right of any person;
  3. For any purpose (including posting or viewing Content) that is not permitted under the laws of the jurisdiction where you use the Services;
  4. To post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any WorkApps user;
  5. To create or transmit unwanted ‘spam’ to any person or any URL. With the exception of accessing RSS feeds, you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission.
  6. Additionally, you agree that you will not:
    • (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure;
    • (ii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site;
    • (iii) bypass any measures we may use to prevent or restrict access to the Site;
  7. To report a suspected abuse of the Site or a breach of the Terms please send written notice to WorkApps at email: support@workapps.com.au

You are solely responsible for your interactions with other users of the Site. WorkApps reserves the right, but has no obligation, to monitor disputes between you and other users.

Confidentiality

You agree not to disclose information you obtain from us and or from our clients, advertisers, suppliers and forum members. All information submitted to by an end-user customer pursuant to a Program is proprietary information of WorkApps. Such customer information is confidential and may not be disclosed. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.

Registration

As a condition to using Services, you are required to open an account with WorkApps and select a password and username, and to provide registration information.

The registration information you provide must be accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your WorkApps account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

You are responsible for maintaining the confidentiality of your password and are solely responsible for all activities resulting from the use of your password and conducted through your WorkApps account.

Services are available only to individuals who are either

  • (i) at least 15 years old, and are authorized to access the Site by a parent or legal guardian.
  • (ii) at least 18 years old.

If you have authorized a minor to use the Site, you are responsible for the online conduct of such minor, and the consequences of any misuse of the Site by the minor.

Payment, Refunds and Cancellation Policy

WorkApps charges a subscription fee (“Fees”) for the use of the WorkApps platform. By registering for one of the paying accounts, you agree to pay WorkApps the Fees applicable to the account level chosen. Unless otherwise stated, all Fees are in Australian Dollars. WorkApps reserves the right to change the Fees at any time, upon written notice to you.

All Fees will be billed to the credit card account provided at the current international currency conversion rate. You are responsible for and shall pay WorkApps all currency conversion charges, sales, use, value-added, personal property or other tax, duty or levy of any kind, including interest and penalties thereon (collectively, “Taxes”) for the use of WorkApps, whether imposed now or hereinafter by any governmental entity.

For any upgrade or downgrade in plan level that you elect, your credit card or account will automatically be charged the new rate on your next billing cycle.

All Fees are paid in advance and are non-refundable in Australian dollars (AUD). There will be no refunds or credits for partial months of service, upgrades/downgrades, or for months when you did not use WorkApps. We reserve the right to deactivate your access to WorkApps, if you fail to pay applicable fees.

You must provide current, complete and accurate billing information. You must promptly update all billing information to keep your account current, complete and accurate (such as by furnishing a new billing address, card number or expiration date), and you must promptly notify WorkApps if your credit card or account is canceled -- including if you lose your card (or it is stolen), your account information changes, or if you become aware of a potential breach of security (such as an unauthorized disclosure or use of your name or password).

You authorize us to obtain updated or replacement expiration dates for your credit card in the event that the credit card you provided us expires.

We reserve the right to charge any renewal card issued to you as a replacement. You agree to promptly pay WorkApps in the event of any refusal of your credit card issuer to pay any amount to WorkApps for any reason.

You agree to pay all costs of collection, including solicitor’s fees and costs, on any outstanding balance. In the event you fail to pay any amount when due, WorkApps may immediately suspend or terminate this Agreement and your access to WorkApps.

Your subscription will renew automatically, unless we terminate it or you terminate your subscription by providing written or electronic notice through one of the following methods:

  • Email: accounts@worksapps.com.au
  • Mail: WorkApps, Physical Address

You must cancel your subscription before it renews in order to avoid billing of subscription fees for the renewal term to your credit card or account.

Termination

WorkApps may terminate or suspend any and all Services and/or your WorkApps account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the WorkApps Terms and Conditions.

Upon termination of your account, your right to use the Services will immediately cease. If you wish to terminate your WorkApps account, you may simply discontinue using the Services.

All provisions of the WorkApps Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

It is your responsibility to remove all Content from your account prior to termination. Upon termination of your account WorkApps will automatically remove all Content posted to your account 30 days after the account termination date.
